Terms & Policies

Please read these terms carefully before using our services, enrolling in our programs, or purchasing our products.

 

By accessing our website, enrolling in a course, registering for an event, hiring us for a service, or purchasing any product offered by Virtual Champions Philippines (VCPH), you agree to be bound by the following Terms and Policies. If you do not agree, please do not proceed with any transaction or engagement.

 

1. Acceptance of Terms

These Terms & Policies govern your relationship with Virtual Champions Philippines, a business entity registered in the Philippines and operating at virtualchampions.ph and its associated subdomains.
 
These terms apply to all visitors, clients, course enrollees, event registrants, and anyone who interacts with our services, products, or community. By engaging with any VCPH offering, you confirm that:
  • You are at least 18 years of age or have the legal capacity to enter into a binding agreement.
  • You have read, understood, and agreed to these terms in their entirety.
  • If acting on behalf of an organization, you are authorized to bind that organization.

2. Website Use

These terms govern your use of virtualchampions.ph and all associated subdomains, pages, and digital properties operated by VCPH (collectively, the “Site”).

 

Permitted Use

You may access and browse the Site for lawful, personal, or business informational purposes. You agree not to:
  • Use the Site in any way that violates applicable local, national, or international laws or regulations.
  • Transmit any unsolicited or unauthorized advertising, spam, or promotional material.
  • Attempt to gain unauthorized access to any part of the Site, its servers, or any systems connected to the Site.
  • Scrape, harvest, or collect any data or content from the Site using automated means without prior written consent.
  • Use the Site to impersonate VCPH, its team, or any other person or entity.
  • Upload or transmit any malicious code, viruses, or disruptive content.

 

Site Availability

VCPH makes reasonable efforts to keep the Site accessible and operational. However, we do not guarantee uninterrupted availability. The Site may be temporarily unavailable due to maintenance, updates, technical issues, or circumstances beyond our control. VCPH is not liable for any loss or inconvenience resulting from downtime.

 

Third-Party Links

The Site may contain links to third-party websites, platforms, or resources. These links are provided for convenience only. VCPH does not endorse, control, or take responsibility for the content, privacy practices, or availability of any third-party sites. Visiting linked sites is at your own risk.

 

Cookies

The Site uses cookies and similar tracking technologies to support functionality, analyze traffic, and improve the user experience. By continuing to use the Site, you consent to the use of cookies in accordance with our Privacy & Data policy in Section 11. You may adjust your browser settings to refuse cookies, though this may affect certain features of the Site.

VCPH aims to keep the information on the Site current and accurate. However, we make no warranties — express or implied — regarding the completeness, accuracy, or suitability of any content for a particular purpose. Content on the Site is for general informational purposes and should not be relied upon as professional, legal, or financial advice.

3. Services

VCPH offers a range of client-facing professional services. The scope, timeline, and deliverables for each engagement are defined through a separate service agreement, proposal, or contract issued prior to project kickoff.

 

Service Lines

Our current service offerings include, but are not limited to:
  • ClickUp Implementation & Systems Optimization — ClickUp workspace setup, systems design, workflow automation, and ongoing optimization for teams and businesses.
  • Fractional Support Services — Embedded operational support on a part-time or project basis, including systems management, process documentation, and team coordination.
  • Marketing Services — Strategy, copy, design, funnel development, and digital marketing execution to support business growth.
  • Virtual Assistant Services — Matching clients with trained virtual assistants and providing ongoing support for remote team management.

 

Client Responsibilities

The client agrees to:
  • Provide timely feedback and approvals as outlined in the project agreement.
  • Supply all necessary materials, assets, logins, and information required to complete the work.
  • Communicate changes in scope in writing. Scope changes may affect the timeline and pricing and will be subject to a separate change order.
  • Not hold VCPH responsible for delays caused by the client’s failure to deliver required inputs on time.

 

Revisions

The number of revisions included in any service engagement is specified in the corresponding proposal or contract. Revisions beyond the agreed scope will be billed at our standard hourly or project rate.

 

Project Delays & Abandonment

If a project becomes inactive due to unresponsiveness from the client for 30 or more consecutive days, VCPH reserves the right to pause or close the project. Reactivation may require a new initiation fee. Projects abandoned after partial completion are not eligible for refunds on work already delivered.

4. Digital Products

VCPH offers digital products including but not limited to online courses, training programs, templates, automations, and downloadable resources. All digital products are non-tangible and delivered electronically. The specific products available at any given time are listed on the VCPH website and may be updated without prior notice.

 

License & Permitted Use

Upon purchase, you are granted a personal, non-exclusive, non-transferable license to access and use the product for your own professional development or business use. You may not:
  • Share, resell, redistribute, or sublicense any digital product.
  • Reproduce or repurpose course or training content for your own programs without written permission.
  • Remove or alter any copyright, branding, or attribution notices.

 

Access & Delivery

Access to digital products is provided through the platform or method specified at the time of purchase. Login credentials, access links, or download files are sent to the email address provided at checkout. VCPH is not responsible for delivery failures due to incorrect email entry or spam filtering. If you do not receive access within 24 hours of payment, contact us at the address listed in Section 13.
 
Note on Platform Access: VCPH uses third-party platforms for course and product delivery. In the event of a platform migration, enrolled customers will be notified and access will be transferred. VCPH is not responsible for third-party platform outages or downtime.

5. Events & Community

VCPH periodically hosts live events, workshops, webinars, and community programs — both free and paid. Details including format, schedule, and any applicable fees are published on the relevant event or registration page at the time of announcement.

 

Registration

Registration for any VCPH event constitutes acceptance of these terms as well as any event-specific terms communicated at the time of registration. VCPH reserves the right to limit attendance or close registration at its discretion.

 

Attendance & Recording

  • VCPH events may be recorded for review, educational, and promotional use.
  • By registering and attending, you consent to being potentially included in a recording.
  • Recordings may be shared with registered attendees or made available to the broader VCPH community at VCPH’s discretion.
  • Attendees may not record or redistribute VCPH event content without prior written consent.

 

Event Cancellation or Rescheduling

VCPH reserves the right to cancel, postpone, or reschedule any event. In such cases, registered attendees will be notified via the email used during registration. If the event was paid for, a full refund or credit toward a future session will be offered at VCPH’s discretion.

 

Code of Conduct

All attendees are expected to engage respectfully. VCPH reserves the right to remove any participant whose behavior is disruptive, offensive, or inconsistent with the spirit of the community. No refunds will be issued for removal due to conduct violations.

6. Payment Terms

Accepted Payment Methods

VCPH accepts payment through the methods specified at checkout or in your service proposal. These may include bank transfer, GCash, PayMaya, credit/debit card, PayPal, Payoneer, Wise, Xendit, or other payment platforms as applicable.

 

Pricing & Currency

Prices are listed in Philippine Peso (PHP) or US Dollar (USD) as indicated on the relevant product or service page. International transactions processed in USD are subject to your bank or payment processor’s exchange rate at the time of the transaction. VCPH is not responsible for currency conversion fees or transaction fees.

 

Service Payments

  • Most service engagements require a 50% deposit before work begins. The remaining balance is due upon project completion or as specified in the contract.
  • For retainer or ongoing engagements, payment is due at the beginning of each billing period.
  • Late payments to invoices incur penalties as detailed in VCPH Billing Details and the invoice document.
  • Invoices unpaid within the agreed payment window may result in a pause in service delivery or termination of the contract.

 

Digital Product Payments

Digital products must be paid in full before access is granted. Payment confirmation triggers automated delivery of access credentials or download links.

 

Taxes

Prices shown may or may not include applicable taxes. Philippine-based transactions may be subject to VAT or other applicable taxes as required by law. International clients are responsible for any taxes, duties, or levies applicable in their own jurisdiction.

7. Refunds & Cancellations

Services

The deposit paid to begin a service engagement is non-refundable. It compensates for the discovery, planning, and resource allocation that occur before delivery begins.
 
If VCPH fails to begin work within the agreed timeline for reasons within our control, the deposit will be refunded in full. All refund requests for service engagements are evaluated on a case-by-case basis.

 

Digital Products

Due to the digital and instantly accessible nature of our products, all sales are final once access has been granted or the file has been delivered. We do not offer refunds on digital products after delivery.
 
If you experience a technical issue that prevents access to a purchased product, please contact us within 7 days of purchase. We will work to resolve the issue or, at our discretion, issue a credit toward another product.

 

Events

For paid events:
  • Cancellations made 7 or more days before the event date are eligible for a full refund.
  • Cancellations made within 7 days of the event are eligible for a credit toward a future VCPH event but are not eligible for a cash refund.
  • No-shows are not eligible for refunds or credits.
 
To request a refund: Email us at the address in Section 13 with your full name, purchase date, and the reason for your request. Refund decisions are communicated within 5 business days.

8. Intellectual Property

VCPH-Owned Content

All content created by VCPH — including but not limited to training materials, courses, downloadable resources, templates, automations, frameworks, methodologies, written copy, graphics, and website content — is the intellectual property of Virtual Champions Philippines. Unauthorized reproduction, distribution, or use is prohibited without prior written consent.

 

Client Work & Deliverables

Unless otherwise specified in a written agreement:
  • Upon full payment, the client receives ownership of all final deliverables created specifically for their project (e.g., logo files, website design, written copy).
  • VCPH retains the right to display completed work in our portfolio, case studies, and marketing materials unless the client requests confidentiality in writing.
  • VCPH retains ownership of any underlying systems, frameworks, proprietary processes, or reusable assets used in the production of client deliverables.
  • Ownership of deliverables does not transfer until the final balance is paid in full.

 

Client-Provided Materials

Clients warrant that any materials, content, or assets they provide to VCPH are either owned by them or legally licensed for use. VCPH is not liable for intellectual property claims arising from client-supplied materials.

9. Confidentiality

VCPH treats all client information — including business strategies, processes, financial data, personnel information, and any materials shared during an engagement — as strictly confidential.
 
We will not disclose your confidential information to third parties except:
  • Where required by law or regulation.
  • To team members or contractors directly involved in delivering your project, bound by equivalent confidentiality obligations.
  • With your prior written consent.
 
Clients agree to keep any proprietary VCPH materials, frameworks, and internal systems encountered during an engagement confidential as well.
 
For service engagements requiring additional protection, a separate Non-Disclosure Agreement (NDA) may be executed between both parties.

10. Limitation of Liability

To the fullest extent permitted by applicable law, VCPH shall not be liable for:
  • Indirect, incidental, consequential, or punitive damages arising from the use of our services or products.
  • Loss of revenue, profit, data, or business opportunities resulting from reliance on our work or advice.
  • Damages arising from third-party tools, platforms, or services used during an engagement (e.g., GoHighLevel, ClickUp, Kajabi).
  • Outcomes dependent on the client’s own implementation, execution, or decision-making post-delivery.
 
In any event, our total liability to a client shall not exceed the total amount paid by that client for the specific product or service giving rise to the claim.

 

No Guarantee of Results

VCPH provides tools, training, strategy, and implementation support. Results depend on many factors outside our control, including how clients apply what they receive. We do not guarantee specific business outcomes, revenue targets, or performance metrics.

 

Indemnification

You agree to indemnify and hold harmless VCPH, its team members, contractors, and representatives from any claims, damages, or expenses arising from your misuse of our services, violation of these terms, or infringement of third-party rights.

11. Privacy & Data

VCPH collects personal information — such as name, email address, and payment details — solely for the purpose of delivering services, products, and communications you have opted into.

 

How We Use Your Data

  • To process payments and fulfill orders.
  • To communicate about your enrollment, project, or account.
  • To send newsletters, product updates, and promotional offers, you have subscribed to.
  • To improve our services and understand how our products are used.

 

Your Rights

You have the right to request access to, correction of, or deletion of your personal data held by VCPH. To exercise these rights, contact us at the address in Section 12. We will respond within 10 business days.

 

Unsubscribing

You may opt out of marketing communications at any time by clicking “Unsubscribe” in any email we send. Transactional communications related to active purchases or engagements are not subject to opt-out until the engagement concludes.

 

Third-Party Platforms

VCPH uses third-party platforms for CRM, course delivery, email marketing, and payments. These platforms have their own privacy policies. By engaging with VCPH, you acknowledge that your data may be processed through these platforms as part of service delivery.

12. Changes to These Terms

VCPH reserves the right to update or modify these Terms & Policies at any time. Changes take effect upon publication on this page. The “Last Updated” date at the top of this page will reflect the most recent revision.
 
For active clients or enrolled students, material changes will be communicated via email. Continued use of our services or platforms after changes have been posted constitutes acceptance of the revised terms.

Governing Law

These terms are governed by the laws of the Republic of the Philippines. Any disputes arising from these terms or from transactions with VCPH shall be subject to the jurisdiction of the appropriate courts in the Philippines, unless otherwise agreed in writing.
